Terms of Service
These Terms govern your use of the NeoSDK platform. By creating an account or accessing any NeoSDK service, you agree to be bound by these Terms in full.
Overview & Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and NeoSDK Inc. trading as NeoSDK ("NeoSDK," "we," "us," or "our"), incorporated in New York, United States.
These Terms govern your access to and use of the NeoSDK platform, APIs, dashboard, documentation, and all related services (collectively, the "Platform").
By registering, accessing the Platform, or using any NeoSDK API, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
If you are using the Platform on behalf of an organisation or legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" include both you and that entity.
These Terms apply to all tiers of access including free trials, paid subscriptions, and API integrations. Additional product-specific terms may apply and will be disclosed at the time of access.
Definitions

| Scan | A single query to the NeoSDK screening engine — including PEP checks, sanctions lookups, adverse media searches, ID verifications, KYB lookups, or AML risk assessments. |
| Customer Data | Any data, files, records, or information submitted to the Platform by or on behalf of the Customer. |
| Transaction Monitoring | The NeoSDK service that ingests, analyses, and applies rules to financial transaction data to detect suspicious activity. |
| Rule Plan | A configured set of detection rules applied to transaction monitoring workflows. |
| AML | Anti-Money Laundering, as regulated under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) and equivalent international legislation. |
| Production Environment | The live, billable environment where Credits are consumed and results carry regulatory significance. |
| Test Environment | The sandbox environment provided for integration testing. Results have no regulatory standing. |
| Authorised User | Any individual granted access to the Customer's NeoSDK account, including team members and sub-accounts. |
Account Registration & Eligibility
3.1 Eligibility
To register for a NeoSDK account, you must:
- Be at least 18 years of age or the applicable age of majority in your jurisdiction
- Be a legally constituted business entity or an individual acting in a commercial capacity
- Have the legal capacity to enter into binding contracts under applicable law
- Not be subject to applicable sanctions or export control restrictions
- Not be a competitor using the Platform for competitive intelligence purposes
3.2 Registration Requirements
You agree to provide accurate, complete, and current information during registration, including your legal business name, registered address, ABN or equivalent business identifier, and a valid business email address. You must promptly update this information if it changes.
3.3 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your account credentials and API keys
- All activity conducted under your account, whether authorised or not
- Promptly notifying NeoSDK of any unauthorised access at [email protected]
- Ensuring all Authorised Users comply with these Terms
NeoSDK will never ask for your password via email, phone, or live chat. If you receive such a request, report it immediately to [email protected].
3.4 One Account Per Entity
Each legal entity may maintain one primary account. Creating multiple accounts to circumvent usage limits or billing is prohibited and may result in immediate suspension.
Platform Services
4.1 Services Provided
- AML NameSearch — Real-time screening against global PEP lists, sanctions databases, and adverse media sources using Emerald and Sapphire credit tiers
- Batch Screening — Bulk upload and processing of entity lists via CSV for high-volume workflows
- AML Risk Scanning — Automated risk assessment for individual and organisational AML risk scoring
- ID Verification (IDV) — Electronic identity verification, document verification, and FaceMatch
- Know Your Business (KYB) — Corporate registry lookups, document retrieval, and beneficial ownership verification
- Transaction Monitoring — Ingestion, rule-based analysis, and alerting for financial transaction data
- Regulatory Reporting — Configurable report templates supporting AUSTRAC, FATF, and equivalent reporting obligations
4.2 Service Availability
NeoSDK targets 99.9% Platform uptime monthly, excluding scheduled maintenance. Maintenance windows will be notified at least 48 hours in advance. NeoSDK is not liable for downtime caused by factors outside its reasonable control.
4.3 Test Environment
A sandboxed Test Environment is provided to all registered accounts for integration testing. Results in the Test Environment have no regulatory standing and must not be used for compliance decisions or live operational purposes. Test Credits expire 30 days from issuance.
4.4 Service Modifications
NeoSDK may modify, update, or discontinue any feature with reasonable notice. Where a change materially reduces functionality you have paid for, NeoSDK will provide at least 30 days' notice and a proportional credit or refund at its discretion.
API & Developer Access
5.1 API Keys
Upon registration and subscription, NeoSDK grants you a non-exclusive, non-transferable licence to access the Platform via API keys. Each API key is tied to a specific environment. You must not share API keys publicly, commit them to version control, or embed them in client-side code.
5.2 Rate Limits
API usage is subject to rate limits defined in your subscription plan. Sustained use exceeding plan limits may result in temporary throttling. NeoSDK will provide advance notice before applying permanent limits.
5.3 API Versioning & Deprecation
NeoSDK maintains versioned API endpoints (e.g., /v1/, /v2/). Deprecated versions will be supported for a minimum of 12 months following the announcement of their successor.
5.4 SDKs & Third-Party Integrations
Official SDKs and integration guides are provided "as-is" for convenience and do not modify your subscription terms. Use of third-party integrations is at your own risk.
Production Environment API keys carry billing and compliance implications. Treat them with the same security as passwords. Revoke any key you suspect has been compromised immediately via the Dashboard.
AML & Compliance Obligations
6.1 Not a Substitute for Legal Advice
NeoSDK is a technology platform providing data and analytical tools. The Platform does not constitute legal, compliance, or regulatory advice. You are solely responsible for how you interpret and act on Platform results.
6.2 Your Compliance Responsibilities
- You are independently responsible for meeting your own AML/CTF obligations under applicable law
- Screening results are based on third-party data sources and may not be exhaustive, current, or error-free
- NeoSDK results must be considered alongside your own due diligence procedures
- You must not rely solely on NeoSDK results for any regulatory filing, SAR, or compliance decision
- You remain the reporting entity under AUSTRAC, FinCEN, FINTRAC, or equivalent bodies, as applicable
6.3 Data Source Accuracy
NeoSDK aggregates data from licensed third-party providers, government watchlists, and public sources. While commercially reasonable efforts are made to maintain accuracy, NeoSDK makes no representations as to the completeness or accuracy of underlying source data.
6.4 Sanctions Compliance
You must not use the Platform to facilitate sanctions evasion, prohibited transactions, or circumvention of any applicable law. Any indication of such use will result in immediate account suspension and referral to relevant authorities.
Important: NeoSDK transaction monitoring flags are indicators, not determinations. False negatives are possible. A clean result does not confirm a transaction or entity is free from money laundering risk.
Data, Privacy & Security
7.1 Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, incorporated into these Terms by reference. It describes how we collect, use, store, and protect personal information.
7.2 Customer Data Ownership
You retain all ownership and rights to your Customer Data. By submitting Customer Data, you grant NeoSDK a limited, non-exclusive licence to process that data solely to deliver the requested services. NeoSDK does not sell Customer Data to third parties.
7.3 Data Processing Obligations
Where NeoSDK processes personal information on your behalf, we will:
- Process personal data only on your documented instructions
- Implement appropriate technical and organisational security measures
- Assist you in meeting obligations under the Privacy Act 1988 (Cth) and GDPR where applicable
- Delete or return Customer Data upon termination, unless legally required to retain it
7.4 Security Measures
NeoSDK implements AES-256 encryption at rest and in transit, multi-factor authentication, role-based access controls, regular penetration testing, and SOC 2 Type II aligned operational controls. You are responsible for applying appropriate security on your own systems and for immediately reporting any suspected breach.
7.5 Data Retention
Scan results and transaction data are retained for the period required to deliver the service and meet regulatory obligations, typically up to seven (7) years. Deletion requests may be made to [email protected], subject to legal retention requirements.
7.6 Data Residency
Customer Data is stored in United States by default. Cross-border transfers necessitated by third-party data providers are conducted in compliance with applicable privacy law, including Standard Contractual Clauses where required.
Credits, Pricing & Billing
8.1 Credit System
Access to paid Platform features is gated by a prepaid credit system. Credits are consumed on a per-scan or per-transaction basis. Pricing is published on the NeoSDK pricing page and is subject to change with 30 days' notice.
8.2 Credit Types
- Emerald Credits — PEP, sanctions, and adverse media screening via the Emerald data source tier
- Sapphire Credits — Enhanced screening via the premium Sapphire data source tier
- Verification Credits — ID verification, document verification, and FaceMatch services
8.3 Purchasing & Pricing
Credits are purchased in advance via the billing dashboard. A one-time onboarding fee of USD $500 applies to the first credit package purchase. All prices are quoted in USD unless otherwise stated.
8.4 Credit Expiry
Purchased credit packages expire twelve (12) months from the date of purchase. Complimentary and bonus credits expire as specified at issuance, typically within 30 days. Expired credits are forfeited with no right to refund.
8.5 Auto Top-up
Customers may enable Auto Top-up to automatically purchase a designated credit package when their Production Credit balance falls below a configured threshold. You authorise NeoSDK to charge your saved payment method for these purchases. Auto Top-up may be disabled at any time from the billing dashboard.
8.6 Refunds
Credits are non-refundable except where: (a) NeoSDK terminates your account without cause; (b) a verified service outage exceeding 24 consecutive hours occurs; or (c) required by applicable consumer protection law. Refund requests must be submitted within 30 days to [email protected].
8.7 Taxes
All prices exclude GST, VAT, or equivalent taxes unless stated. Applicable taxes will be added at checkout. You are responsible for any withholding taxes required in your jurisdiction.
8.8 Disputed Charges
Disputes must be raised within 60 days by contacting [email protected]. Initiating a chargeback without first contacting NeoSDK may result in account suspension.
Intellectual Property
9.1 NeoSDK IP
The Platform, including all software, algorithms, documentation, trademarks, logos, and compiled screening results, is the exclusive property of Nexiant Pty Ltd or its licensors. Nothing in these Terms transfers any intellectual property rights to you.
9.2 Limited Licence
Subject to compliance with these Terms and timely payment, NeoSDK grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform solely for your internal business compliance purposes.
9.3 Restrictions
- Copy, modify, or create derivative works of the Platform or its underlying technology
- Reverse engineer, decompile, or disassemble any part of the Platform
- Resell, redistribute, or sublicence Platform access without written authorisation
- Use the Platform to build a competing product or service
- Remove or alter any proprietary notices on the Platform
- Scrape or systematically extract data beyond normal API usage
9.4 Feedback
If you provide suggestions, ideas, or feedback ("Feedback"), you grant NeoSDK an irrevocable, perpetual, royalty-free licence to use, incorporate, and commercialise that Feedback without obligation to you.
9.5 Aggregated Data
NeoSDK may use aggregated, anonymised, and de-identified data derived from Platform operation to improve its services, provided no such use will identify you or your customers.
Acceptable Use Policy
10.1 Prohibited Purposes
- Facilitate, assist, or enable fraud, money laundering, terrorism financing, or other criminal activity
- Screen individuals without a legitimate legal basis or lawful compliance purpose
- Process personal data of children under 16 without verifiable parental consent
- Discriminate unlawfully against any individual based on protected characteristics
- Violate applicable privacy, data protection, or consumer protection laws
- Impersonate NeoSDK or any third party in a misleading or deceptive manner
10.2 Technical Restrictions
- Probe, scan, or test the vulnerability of the Platform without prior written authorisation
- Attempt to gain unauthorised access to the Platform, its infrastructure, or other customers' data
- Introduce malware, viruses, or malicious code into the Platform
- Transmit automated requests in excess of published rate limits
- Use automated tools to bypass authentication, rate limiting, or access controls
NeoSDK operates a responsible disclosure programme. If you discover a security vulnerability, please report it to [email protected] rather than exploiting or publicly disclosing it.
Disclaimers & Limitation of Liability
11.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEOSDK EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF SCREENING DATA, AND NON-INFRINGEMENT.
11.2 No Guarantee of Results
NeoSDK does not warrant that screening results are complete, accurate, or free from error. False positives and false negatives are inherent characteristics of any automated screening system. Data sources are updated regularly but may not reflect the most current information at the time of a query.
11.3 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEOSDK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:
- Loss of profits, revenue, goodwill, business, or anticipated savings
- Loss or corruption of data or Customer Data
- Regulatory fines or penalties arising from your use of the Platform
- Damages arising from reliance on inaccurate or incomplete screening results
11.4 Liability Cap
NeoSDK's total aggregate liability for any and all claims shall not exceed the greater of: (a) the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim, or (b) AUD $500.
11.5 Consumer Guarantees
Nothing in these Terms limits rights you may have under the American Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or equivalent consumer protection legislation that cannot be excluded by agreement.
Indemnification
You agree to indemnify, defend, and hold harmless NeoSDK, Nexiant Pty Ltd, and their respective directors, officers, employees, agents, and licensors from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:
- Your use of or inability to use the Platform
- Your breach of these Terms or any applicable law or regulation
- Customer Data you submit, including any claim that such data infringes a third party's rights
- Your failure to comply with your own AML/CTF, privacy, or data protection obligations
- Unauthorised use of the Platform by any Authorised User under your account
- Any wilful misconduct or negligence by you or your Authorised Users
NeoSDK reserves the right to assume exclusive defence and control of any matter subject to indemnification by you, in which case you will cooperate fully with that defence.
Suspension & Termination
13.1 Termination by You
You may terminate your account at any time by contacting [email protected] or through account settings. Termination takes effect at the end of the current billing cycle. Unused Credits at termination are forfeited unless a refund applies under Section 8.6.
13.2 Termination by NeoSDK
NeoSDK may suspend or terminate your account immediately without notice if:
- You materially breach these Terms and, where remediable, fail to remedy it within 14 days of written notice
- You use the Platform for any fraudulent, illegal, or harmful purpose
- You fail to pay amounts due and the overdue amount is not remedied within 7 days of notice
- Required by law, court order, or regulatory directive
- NeoSDK reasonably believes your account poses a security or compliance risk
13.3 Effect of Termination
Upon termination: (a) all licences granted to you immediately cease; (b) you must cease all use of the Platform and API keys; (c) NeoSDK will make Customer Data available for export for 30 days post-termination, after which it will be deleted; and (d) all accrued payment obligations survive termination.
13.4 Survival
Sections 7 (Data & Privacy), 9 (Intellectual Property), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and provisions that by their nature should survive, will survive termination or expiry of these Terms.
Disputes & Governing Law
14.1 Governing Law
These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law provisions.
14.2 Dispute Resolution
Before formal proceedings, the parties agree to attempt informal resolution through:
- Informal Notice: The complaining party provides written notice describing the dispute in reasonable detail.
- Good-Faith Negotiation: The parties attempt resolution within 30 days of the notice date.
- Mediation: If negotiation fails, either party may refer the dispute to mediation administered by resolution before commencing litigation.
14.3 Jurisdiction
Each party irrevocably submits to the exclusive jurisdiction of the courts of New York, United States. If you access the Platform from outside United States, American law and courts govern any disputes.
14.4 Class Action Waiver
To the extent permitted by applicable law, you waive any right to participate in a class action, collective proceeding, or representative action against NeoSDK. All disputes must be pursued on an individual basis.
14.5 Time Limitation
Any claim arising under or related to these Terms must be brought within two (2) years of when the claimant knew or ought reasonably to have known of the facts giving rise to the claim. Claims not brought within this period are permanently barred.
Modifications to Terms
NeoSDK reserves the right to modify these Terms at any time. For material changes we will:
- Post the revised Terms on this page with an updated effective date
- Send a notification to the email address associated with your account at least 14 days before changes take effect
- Display a prominent notice within the dashboard
Changes required by law, addressing security vulnerabilities, or clarifying existing provisions may take effect immediately without prior notice.
Your continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. If you do not agree, you must cease using the Platform before the effective date and may terminate your account under Section 13.1.
